Terms of Service

These Terms of Service ("Terms") constitute an agreement between SignalDocs ("SignalDocs," "we," "us," or "our") and you ("Customer," "you," or "your") governing your access to and use of the SignalDocs platform, website, and related services (the "Service").
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
1. Definitions
- "Customer Data" means documents, text, input prompts, and other information you upload to or create within the Service.
- "Output" means AI-generated content, analysis, redlines, or drafts produced by the Service in response to your inputs.
- "User" means any individual who uses the Service through your account.
- "Founder" means a User who registers as a startup founder and accesses document creation, review, signing, and data room features.
- "Attorney" means a licensed legal professional who applies to and is approved to join the SignalDocs attorney network to provide review services through the platform.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using the Service, you represent and warrant that you meet these requirements. Attorneys applying to join the platform additionally represent that they hold an active bar license in at least one U.S. jurisdiction and are in good standing with their applicable bar association(s).
3. Account Registration & Access
To access the Service, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account, whether authorized or unauthorized
- Notifying us immediately of any unauthorized access or security breach
- Ensuring that your billing and contact information remains current
Subject to these Terms, we grant you a non-exclusive, non-transferable right to access and use the Service for your internal business purposes during your subscription period. Attorney accounts are subject to additional approval and may be suspended or terminated by SignalDocs at any time if the attorney's license status changes or conduct violates our network standards.
4. Description of Service
SignalDocs provides AI-powered legal document drafting, review, analysis, electronic signing, and attorney review services for startup founders. The Service includes:
- AI-assisted drafting of legal documents from templates or from scratch
- Upload and extraction of existing documents (PDF and DOCX)
- Multi-agent AI analysis producing a Contract Safety Score, risk issues, and replacement language
- Position-aware contract review for uploaded documents (redlines, risk flags, missing provisions)
- One-click application of AI-suggested redlines with tracked changes
- AI review by Lex, SignalDocs' legal agent — an instant, automated document review available on Growth and Scale plans
- Optional attorney review by licensed professionals in our vetted network
- Electronic document signing (drawn or typed signatures, multi-party)
- A secure investor data room for storing and sharing signed documents
Important: AI-generated outputs are informational tools and do not constitute legal advice unless reviewed and approved by a licensed attorney through our platform. You should always consult with a licensed attorney for legal matters specific to your situation.
5. Lex AI Review
Lex is SignalDocs' built-in AI legal agent that performs automated document review. Lex review is available on Growth and Scale plans and is not available on the Free plan.
- When you request a Lex review, your document is processed by our AI system (powered by Anthropic's Claude API) using a general, non-party-specific review framework. No licensed attorney is involved in a Lex review.
- Lex review produces a risk summary, issues list, and review score, which are saved to your document. Results are equivalent in format to the position-aware contract review described in Section 4 but are generated without a selected party position.
- Lex is not a substitute for legal advice. Lex review output is informational only and does not constitute legal advice, does not create an attorney-client relationship, and should not be relied upon as a final legal determination. For legal matters specific to your situation, consult a licensed attorney.
- Lex review is included in your Growth or Scale subscription at no additional per-document charge. It is subject to the rate limits described in our platform documentation.
- Upon completion of a Lex review, we will send you an email notification. Review results are cached to your document and do not automatically re-run.
6. Attorney Review Services
Attorney review services are provided by independent licensed attorneys who are not employees of SignalDocs. When you submit a document for attorney review:
- You are engaging a licensed legal professional through our platform
- Attorney-client privilege applies to your communications with the reviewing attorney
- The attorney, not SignalDocs, is responsible for the legal advice and review provided
- SignalDocs acts solely as a platform connecting you with licensed attorneys
- Attorneys may approve, return with comments, or request additional information before completing a review
Attorney Review Fees: Attorney review is charged as a one-time, per-document fee paid at the time of submission. This fee is separate from your subscription and is non-refundable once a review has begun (i.e., once an attorney has claimed and started reviewing your document). If no attorney claims your document within a reasonable time, you may withdraw the submission and a refund will be issued at our discretion. You may withdraw a submission before an attorney claims it; withdrawal is not available once a review is underway.
7. Electronic Signatures
The Service includes an electronic signature feature that allows Founders and invited co-signers to sign documents digitally. By using the electronic signature feature, you acknowledge and agree that:
- Electronic signatures created through the Service are legally binding under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state laws, including the Uniform Electronic Transactions Act (UETA)
- A typed name or drawn signature applied through the Service constitutes your legal signature with the same force and effect as a handwritten signature
- You consent to conducting business electronically and to receiving electronically signed documents
- You are responsible for inviting the correct co-signers and ensuring they have authority to sign on behalf of any organization they represent
- SignalDocs stores signature data (including typed text or drawn image) associated with each signed document
- You should retain copies of fully executed documents for your own records
SignalDocs does not independently verify the identity of co-signers beyond the email address provided. You are responsible for confirming the identity of any party you invite to sign.
8. Investor Data Room
The Service includes an investor data room where you can store and share signed documents with third parties (such as investors or advisors) via a secure, token-based link. By using the data room:
- You control which documents are added to the data room and who receives share links
- Anyone with a valid share link can view the documents in the data room — treat these links as confidential
- You are responsible for the accuracy and appropriateness of the documents you share
- SignalDocs is not responsible for how third parties use documents accessed through share links you distribute
- You may revoke access by contacting us; we do not currently offer self-serve link revocation
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable laws
- Upload content that infringes intellectual property rights or contains confidential information you are not authorized to share
- Attempt to reverse-engineer, decompile, or extract the source code of the Service
- Use the Service to generate fraudulent, misleading, or unlawful documents
- Share your account credentials with unauthorized third parties or allow multiple individuals to use a single User account
- Access the Service to build a competitive product or copy our features, functionality, or design
- Engage in web scraping, data mining, or automated extraction of data from the Service
- Overload, interfere with, or disrupt the Service or our servers
- Misrepresent your identity, bar license status, or authority when signing documents or applying as an attorney
We reserve the right to suspend or terminate your account immediately if we reasonably suspect a violation of these restrictions, in addition to any other remedies available to us.
10. Data Ownership & Usage
Your Data Ownership:
As between you and SignalDocs, you own all Customer Data you upload or create through the Service, as well as all Outputs generated from your data. You grant us a limited license to use, process, and store your Customer Data solely to provide the Service.
No AI Training on Your Data:
We do not use your Customer Data to train AI models or improve services for other customers. When we process your data through our AI provider (Anthropic), we have agreements in place prohibiting them from using your data for model training.
Usage Data & Analytics:
We collect usage data (feature interactions, session analytics, feedback) to improve service delivery and platform performance. We may create aggregated, de-identified statistics from Customer Data that cannot reasonably be used to identify you. We own this anonymized data and may use it for our business purposes.
11. Fees & Payment
- Subscription Plans: SignalDocs offers a Free plan (3 documents/month), Growth plan, and Scale plan. Paid plans are billed monthly or annually as selected at purchase. Document limits reset monthly on a calendar basis. Lex AI review is included at no additional charge on Growth and Scale plans and is not available on the Free plan.
- Attorney Review Fees: Attorney review is a one-time per-document fee charged separately from your subscription. This fee is non-refundable once a review has begun. See Section 6 for details.
- Payment Processing: All payments are processed securely by Stripe. We do not store your payment card details.
- Auto-Renewal: Paid subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
- Subscription Refunds: Subscription fees are non-refundable except as required by law. You may cancel at any time; access continues until the end of the paid period.
- Price Changes: We may change subscription pricing with 30 days advance notice. Changes will not affect your current subscription term.
- Late Payment: For payments overdue by 30+ days, we may charge interest at 1.5% per month (or the maximum rate permitted by law) and suspend access until payment is received.
- Taxes: Fees are exclusive of taxes. You are responsible for all applicable sales taxes, VAT, or other taxes.
12. Data Security & Privacy
We implement industry-standard security measures to protect your Customer Data, including encryption (AES-256 at rest, TLS in transit), role-based access controls, and regular security monitoring. However, no method of transmission or storage is 100% secure.
Our collection, use, and disclosure of personal information is governed by our Privacy Policy. We will process Customer Data only as necessary to provide the Service and in accordance with your instructions.
13. Confidentiality
We will treat your Customer Data as confidential and will not disclose it to third parties except: (a) to service providers necessary to operate the Service (under strict confidentiality obligations); (b) to attorneys you engage for review; (c) to third parties you explicitly authorize through data room share links; (d) as required by law; or (e) with your consent.
14. Intellectual Property
- Your IP: You retain all rights to your Customer Data and Outputs.
- Our IP: SignalDocs retains all rights to the Service, including the platform, AI models, software, logos, trademarks, and underlying technology. These Terms do not grant you any ownership rights to our IP.
- Feedback: If you provide feedback or suggestions about the Service, we may use that feedback without obligation to you.
15. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that: (a) the Service will be uninterrupted, secure, or error-free; (b) AI-generated outputs will be accurate, complete, or suitable for your specific legal situation; (c) electronic signatures will be enforceable in every jurisdiction; or (d) any defects will be corrected.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALDOCS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO SIGNALDOCS IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
SIGNALDOCS IS NOT RESPONSIBLE FOR THE LEGAL ADVICE PROVIDED BY ATTORNEYS THROUGH THE PLATFORM, THE ENFORCEABILITY OF ANY DOCUMENT SIGNED THROUGH THE SERVICE, OR ANY DECISIONS YOU MAKE BASED ON AI-GENERATED ANALYSIS.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.
17. Indemnification
You agree to indemnify, defend, and hold harmless SignalDocs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; (d) your violation of any rights of another party; or (e) any document you create, sign, or share through the Service.
18. Term & Termination
- Term: These Terms begin when you first access the Service and continue until terminated.
- Termination by You: You may cancel your subscription or delete your account at any time from your account settings. Upon cancellation, you will retain access until the end of your current billing period. Account deletion is permanent and irreversible; we will delete your data within 30 days.
- Termination by Us: We may suspend or terminate your account immediately if you violate these Terms, for non-payment, or if an attorney's license status changes or conduct warrants removal from the network.
- Effect of Termination: Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days, after which it will be permanently deleted unless required by law. You remain liable for all fees incurred prior to termination. Attorney review fees paid for in-progress reviews are non-refundable.
19. Dispute Resolution
Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
Informal Resolution: Before initiating any formal proceeding, you agree to contact us at support@signaldocs.ai and give us 30 days to attempt an informal resolution.
Arbitration: Any dispute not resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in court. You waive any right to a jury trial or to participate in a class action. You may opt out of arbitration within 30 days of first creating your account by emailing support@signaldocs.ai with the subject line "Arbitration Opt-Out."
20. Modifications to the Service & Terms
We may modify, suspend, or discontinue any feature of the Service at any time without liability, provided such changes do not materially degrade the core functionality you paid for.
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance of the updated Terms.
21. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SignalDocs regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
- Assignment: You may not assign these Terms without our prior written consent. We may assign our rights without restriction in connection with a merger, acquisition, or sale of assets.
- Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control (e.g., natural disasters, war, pandemics, internet outages, third-party service failures).
- Electronic Communications: By creating an account, you consent to receiving electronic communications from us, including transactional emails related to your account, documents, and attorney reviews.
